Terms of Service

1. The Platform and Its Parties
AEX Ecommerce (“AEX”, “platform”, “we”) provides a marketplace where independent merchants (“sellers”, “store owners”) list and sell products to customers (“buyers”). By creating an account or placing an order you agree to these terms.
AEX is a marketplace, not a seller. We do not own, warehouse, or ship any products listed on the platform. Each purchase is a contract between the buyer and the relevant store owner. AEX facilitates discovery, payment processing, and the order management workflow — fulfilment responsibility lies entirely with the store.
2. Eligibility
You must be at least 18 years old to create an account. By registering you confirm you have the legal capacity to enter into binding agreements in your jurisdiction. Accounts created on behalf of a business must be registered by an authorised representative of that business.
3. Accounts
- You are responsible for keeping your login credentials secure.
- You may not share your account or create accounts on behalf of others without their consent.
- You must provide accurate information at registration and keep it up to date.
- We may suspend or terminate accounts that violate these terms, are inactive, or are used fraudulently.
Part A — Buyers
4. Placing Orders
When you place an order you are entering into a purchase agreement with the store owner, not with AEX. Prices displayed include applicable taxes where required. Payment is collected at the time of order via Paystack. Orders are confirmed when payment is successfully processed.
5. Delivery and Fulfilment
Delivery timelines, shipping costs, and fulfilment methods are set by the individual store. AEX displays the information provided by the store but is not responsible for delays, lost shipments, or inaccurate delivery estimates. Contact the store directly for fulfilment issues.
6. Returns and Refunds
Return and refund policies are determined by each store. AEX does not process refunds directly. If a store fails to honour its stated refund policy after reasonable attempts to resolve the issue, contact AEX support and we will investigate and may mediate on your behalf.
7. Reviews
You may leave a review for a product only if you have a delivered order containing that product. Reviews must be honest and based on your genuine experience.
Prohibited review content includes:
- False or misleading statements about a product or seller
- Content unrelated to the product (personal attacks, spam)
- Reviews submitted in exchange for compensation or at the seller's request
AEX may remove reviews that violate these rules and may suspend accounts that abuse the review system.
Part B — Sellers
8. Seller Eligibility and Approval
Opening a store on AEX requires submitting an application. AEX reviews applications and may approve or decline at its discretion. Approval may be conditional on providing additional business documentation. AEX reserves the right to limit the number of active stores in any category or country.
9. Seller Responsibilities
As a seller you are solely responsible for:
- The accuracy of all product listings — descriptions, images, pricing, and availability
- Fulfilling orders placed through your store on time and as described
- Handling returns, refunds, and buyer disputes in accordance with your stated policy
- Ensuring the products you sell are legal in the buyer's country and your operating countries
- Paying any applicable taxes, duties, or customs on sales in your jurisdiction
- Maintaining adequate stock levels and updating availability promptly
10. Prohibited Products and Conduct
You may not list or sell:
- Counterfeit, pirated, or trademark-infringing goods
- Weapons, ammunition, or controlled substances
- Products that misrepresent their origin, composition, or safety
- Any goods prohibited by the laws of your operating countries
You may not:
- Solicit buyers to transact outside the platform to avoid fees
- Manipulate or incentivise reviews
- Use customer data obtained through AEX for any purpose other than fulfilling their order
- Share, sell, or export customer PII from the platform
11. Customer Data (Sellers)
Order data — including buyer names, delivery addresses, and phone numbers — is shared with you solely to fulfil orders placed with your store. This data is provided under a limited licence for fulfilment purposes only. You may not use it for marketing, share it with third parties, or retain it beyond what is necessary for order completion and your legal record-keeping obligations.
12. Platform Fees
The current fee structure is communicated during store onboarding and may be updated with 30 days' written notice. AEX reserves the right to withhold or reverse payouts for orders that are subject to a dispute, chargeback, or investigation.
13. Store Suspension and Termination
AEX may suspend or permanently close a store without prior notice if the store violates these terms, receives sustained negative buyer feedback, fails to fulfil orders, or engages in fraudulent activity. For minor or first violations we will ordinarily issue a warning first. Disputed suspensions can be appealed by contacting legal@aex.africa.
Part C — General
14. Intellectual Property
AEX owns all rights to the platform, its software, and its branding. Sellers retain ownership of their product images and descriptions but grant AEX a non-exclusive licence to display them on the platform and in promotional materials.
15. Limitation of Liability
To the maximum extent permitted by law, AEX is not liable for: product defects or inaccuracies in seller listings; delivery failures or delays; losses arising from store suspensions for policy violations; or indirect, consequential, or incidental damages. AEX's aggregate liability to any user for any claim shall not exceed the total fees paid by that user to AEX in the 12 months preceding the claim.
16. Disputes Between Buyers and Sellers
Purchase disputes are primarily between the buyer and the seller. AEX may mediate at its discretion but has no obligation to do so and its decisions are not binding arbitration. For unresolved disputes contact legal@aex.africa.
17. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved informally shall be submitted to the courts of Nigeria, without prejudice to any mandatory consumer protection rights you may have in your country of residence.
18. Changes to These Terms
We may update these terms. For material changes we will notify registered users by email at least 14 days before the new terms take effect. Continued use of the platform after that date constitutes acceptance.
